ASAP INDEPENDENT CONTRACTOR AGREEMENT
The Agreement does not constitute a hiring by either party.
The Parties intend that Contractor shall have an independent contractor
status and not be an employee for any purpose. Contractor holds itself
out as a separate business entity independent of the Company.
Contractor is not required to perform work exclusively for the Company.
Contractor may conduct tasks or activities similar to the Services rendered
hereunder for entities, other than the Company. Contractor shall obtain,
at its own expense, all business registrations, licenses and certifications
necessary to perform the Services. Contractor has no obligation to accept
any Signing offered by the Company, and may choose, in its sole discretion,
which Signings it wishes to accept. Contractor is free to decline all Signings
and is not under any obligation to be available to accept Signings.
Moreover, the Company does not guaranty that it will have available Signings
at any given time. The Company may, in its sole discretion, decide not to offer
any Signings to the Contractor or may decide to offer Signings to another
contractor before or instead of offering them to Contractor.
The Agreement does not dictate the time of performance. Contractor is not
required to follow or establish a regular or daily work schedule.
Contractor desires to enter into this Agreement and perform as a Contractor
for the Company and is willing to do so on the terms and conditions set forth above.
